The Companies Second Amendment Act introduces important measures to enhance accountability and address misconduct within companies. One of the key changes is the extension of the period during which proceedings can be launched to recover losses, damages, or costs for which a person may be held liable under the law. Following recommendations from the Judicial Commission of Inquiry into Allegations of State Capture, Corruption, and Fraud in the Public Sector (State Capture Commission), the Act extends the time bar for declaring a director delinquent from 24 months to 60 months. Additionally, courts now have the power to extend this period further if good cause is shown. These changes are aimed at ensuring that delinquent directors can be held accountable, even after an extended period, thereby promoting ethical conduct in business.

Preventing Unethical Conduct

The amendments also include provisions to prevent unethical, reckless, and criminal conduct in businesses. For instance, paid shares must be transferred to a stakeholder and held in terms of a stakeholder agreement until fully paid. This measure is designed to safeguard the interests of shareholders, workers, clients, customers, and the economy as a whole.

Climate Change Act

The Climate Change Act 2022, signed into law on July 18, marks a significant step towards environmental sustainability. The Act sets carbon reduction targets on a sectoral basis, guiding industries and large emitters towards net-zero emissions. The Department of Forestry, Fisheries, and the Environment must publish the greenhouse gas (GHG) emitting sectors and subsectors subject to sectoral emissions targets and allocate carbon budgets for emitters, who must then submit a GHG mitigation plan. Businesses that fail to submit a mitigation plan or provide necessary information to the minister will face penalties.

The Act also establishes the Presidential Climate Commission as a statutory body and empowers all layers of government to manage emissions targets. An adaptation resilience fund is set up, requiring the state to undertake adaptation financing and resilience efforts, which is crucial given the expected increase in severe weather events due to climate change.

Public Procurement Act

The Public Procurement Act aims to establish a single framework for sourcing, buying, and paying for goods and services by all organs of state, with a strong emphasis on transformation. It designates groups for preferential procurement, including black people, women, people with disabilities, military veterans, youth, small enterprises, and cooperatives. However, concerns remain about local capacity to meet the Act’s local content provisions, particularly in manufacturing, and the risk of accepting higher-cost bids that meet the Act’s requirements.

The Act seeks to address weaknesses in the current procurement system and combat endemic corruption in state tenders by centralizing procurement through the Finance Minister.

Es ist wichtig, dass Sie Aufzeichnungen über erhaltene De-minimis-Beihilfen führen und die festgelegten Überwachungsanforderungen einhalten. Darüber hinaus können Prüfungen und Stichproben durch BAFA oder den Bundesrechnungshof durchgeführt werden.

10. Projektabschluss und -bewertung:

Bitte beachten Sie, dass das Beratungsprojekt innerhalb des vorgegebenen Zeitrahmens abgeschlossen werden muss, sodass Ihr Unternehmen den genehmigten Beratungsgutschein sechs Monate lang nutzen kann. Das Bundesministerium für Wirtschaft und Klimaschutz (BMWK) hat sein BAFA-Förderprogramm „Beratungsgutscheine Afrika“ verlängert. Die Förderung in Höhe von 49.572 Euro richtet sich an deutsche kleine und mittlere Unternehmen (KMU), die an einer Expansion in den afrikanischen Markt interessiert sind.

Beratungsgutscheine Afrika:Sie sind ein deutsches kleines oder mittleres Unternehmen (KMU) und an einem Markteintritt in den afrikanischen Markt interessiert? Das Bundesministerium für Wirtschaft und Klimaschutz (BMWK) hat sein BAFA-Förderprogramm „Beratungsgutscheine Afrika“ bis 2027 verlängert und bietet deutschen Unternehmen einen maximalen Netto-Förderhöhe von 49.572 Euro pro Kalenderjahr.

Die BAFA-Förderung ermöglicht deutschen Unternehmen den Zugang zu maßgeschneiderten externen Beratungsleistungen zur Vorbereitung und Umsetzung ihrer Wirtschaftsvorhaben in afrikanischen Zielmärkten. Mit den Afrika-Beratungsgutscheinen werden externe Beratungsleistungen insbesondere für kleine und mittlere Unternehmen der gewerblichen Wirtschaft, darunter auch des Handwerks, gefördert, um ihnen eine bedarfsgerechte Beratung bei ihren Wirtschaftsvorhaben in Afrika zu ermöglichen.

Ziel der BAFA-Förderung ist es, deutschen Unternehmen den Markteintritt in Afrika zu erleichtern, die Wettbewerbsfähigkeit zu steigern und zur Schaffung von Arbeitsplätzen sowohl in Europa als auch in den afrikanischen Zielmärkten beizutragen.

Wer kann eine BAFA-Förderung beantragen?

Um förderfähig zu sein, muss es sich bei Ihrem Unternehmen um ein rechtlich selbstständiges kleines und mittleres (KMU) Gewerbeunternehmen mit einer Betriebsstätte oder Niederlassung in Deutschland handeln. Ein Unternehmen gilt als mittelgroß, wenn es weniger als 500 Mitarbeiter beschäftigt und einen Jahresumsatz von weniger als 100 Millionen Euro erwirtschaftet.

Was können Sie erwarten?

Erfolgreiche Bewerber erhalten maßgeschneiderte Beratungsleistungen, die auf ihre spezifischen Bedürfnisse zugeschnitten sind, einschließlich fachkundiger Beratung zur Navigation auf afrikanischen Märkten, Marktanalyse, Business-Case-Berechnung und Beratung bei Finanzierungsverhandlungen (abhängig von der gewählten Gutscheinkategorie).

Ein Beratungsgutschein unterstützt bis zu 15 Beratungstage, der aus 8-Arbeitsstunden besteht und deckt Vor- und Nachbereitung, Reisekosten und weitere Zusatzkosten ab. Bitte beachten Sie, dass die Beratung innerhalb von sechs Monaten nach Bewilligung der BAFA-Förderung abgeschlossen sein muss.

Finanzierung erklärt

Berechtigte Unternehmen können maximal 3 Beratungsgutscheine pro Kalenderjahr beantragen.

Die Beratungsgutscheine bieten einen Gesamtnettoförderwert von bis zu 49.572 Euro pro Jahr. Das heißt, wenn ein Unternehmen alle drei Gutscheine in Anspruch nimmt, stehen ihm innerhalb eines Jahres Fördermittel für Beratungsleistungen in Höhe von insgesamt bis zu 49.572 Euro zur Verfügung. Pro Gutschein sind bis zu 15 Beratungstage möglich, der maximale Tagessatz beträgt netto 1.296 Euro. Darüber hinaus deckt die Förderung 85 % der förderfähigen Beratungskosten ab, die an diesen Beratungstagen anfallen.

Die ausgewählten Beratungsleistungen werden in einem Beratungsvertrag zwischen dem Zuwendungsempfänger und dem aufgeführten Beratungsunternehmen festgelegt.

Beyond tax considerations, the 2024 Budget introduced several amendments aimed at enhancing South Africa’s financial framework. Noteworthy changes include the implementation of the “Two-Pot” Retirement System, effective September 1, 2024, which streamlines retirement planning and taxation.
